1.0 DEFINITIONS
1.0.1 These terms and conditions (Terms) apply to the order by the Buyer and supply of goods by the Seller to the Buyer (Contract). No other terms are implied by trade, custom, practice or course of dealing.
1.0.2 In these Terms, “the Seller” is Electrospares.Net Ltd (registered with company number 5657578), “goods” are the items (or any part of them) set out in the Buyer’s order and supplied by the Seller, and “the Buyer” is the party who purchases the goods from the Seller.
2.0 CONSTRUCTION OF THE GOODS
2.0.1 The Seller reserves the right to make (without giving notice to the Buyer) any alteration in the construction and design of the goods which it thinks reasonable or desirable or which it is required to make by law, and the Buyer shall accept the goods as so altered.
2.0.2 The Seller shall not be bound to comply with any requests from the Buyer to modify or otherwise vary the previously agreed design or composition of the goods. If the Seller decides to comply with such requests, the Buyer shall on demand pay the Seller for any additional costs incurred.
3.0 ACCEPTANCE OF ORDER
3.0.1 The Buyer’s order of the goods (Order) constitutes an offer by the Buyer to purchase the goods in accordance with these Terms. The Buyer is responsible for ensuring that the terms of its Order and any applicable specification submitted by the Buyer are complete and accurate.
3.0.2 The Order shall only be deemed accepted when the Seller issues a written acceptance of the Order, at which point the Contract shall come into existence. Orders are accepted only upon and subject to these Terms.
3.0.3 Unless expressly accepted by the Seller in writing, any qualifications to these Terms appearing in the Buyer’s Order or which the Buyer seeks to impose or incorporate will be treated as inapplicable and not binding on the Seller in any way whatsoever.
3.1 SPECIAL ORDERS
Special order goods are supplied on an ad hoc basis and are only placed on order with the Seller’s supplier once the Seller receives an order for them from the Buyer. Special orders may be subject to variable lead times depending on supply chain conditions. Such goods are supplied on the understanding that they cannot be returned or cancelled unless faulty or damaged and reported to the Seller in accordance with these Terms.
3.2 CANCELLATION OF ORDERS
Cancellation must be made within one hour of placing the order to prevent shipment.
4.0 DELIVERY, LOSS, DAMAGE, SHORTAGE AND RETURNS
4.0.1 The Buyer must provide the Seller with all necessary information without delay to fulfil the Contract. Delivery times run from the date the Seller receives that information.
4.0.2 Delivery dates are approximate and not of the essence. The Seller will use reasonable endeavours to deliver promptly but shall not be liable for delays beyond its control.
4.1 DAMAGE IN TRANSIT
Claims for damage in transit must be notified in writing to both the carrier and Electrospares.Net Ltd within 3 days of receipt, supported by photographic evidence where necessary.
4.2 SHORTAGES
Claims for shortages must be made in writing within 3 days of receipt of goods.
4.3 NON-DELIVERY
Claims for non-delivery must be made in writing within 3 days of dispatch for UK mainland, or within 21 days for other destinations.
4.4 RETURNS
4.4.1 Written consent and a return authorisation number must be obtained before returning any goods.
4.4.2 Goods should be returned in original packaging with the Seller’s stock code visible. Failure to do so may invalidate the claim.
4.4.3 The Seller reserves the right to refuse claims for goods not available for inspection.
4.4.4 Claims for faulty goods do not entitle the Buyer to withhold payment or offset against amounts due.
4.5 FINISHED PRODUCTS
4.5.1 Returns of finished products must be authorised by a company representative.
4.5.2 Returns must be within 28 days of purchase and demonstrate a manufacturing fault.
4.5.3 Returns must be complete with all accessories; incomplete items will not be credited.
4.5.4 Non-manufacturing faults within 28 days, or any fault after 28 days, should be referred to an authorised service agent.
4.6 GUARANTEES AND RETURNS
4.6.1 All products are guaranteed by law to be of merchantable quality and fit for purpose.
4.6.2 Returns may be accepted at the Seller’s discretion, with prior written consent.
4.6.3 Goods inseparably mixed with other items after delivery cannot be returned.
4.6.4 Special order items cannot be returned unless faulty or damaged.
4.6.5 The Seller cannot accept returns of certain electrical components such as motors, timers, compressors, or magnetrons.
4.6.6 A handling charge of 10–30% may apply to non-fault returns.
5.0 PRICES
5.0.1 Prices exclude VAT and shipping.
5.0.2 The Seller reserves the right to amend prices without notice.
5.0.3 Payment terms are as agreed; overdue accounts incur 1% monthly interest compounded above the Bank of England base rate.
5.0.4 Shipping, handling, and minimum order values are detailed on the Seller’s website (https://www.electro-spares.co.uk/Delivery-Information).
5.0.5 Overseas buyers are responsible for import duties and taxes.
6.0 LIABILITY
6.0.1 The Seller accepts no liability for third-party products or indirect losses.
6.0.2 Nothing limits liability for death, personal injury, fraud, or statutory rights.
7.0 RISK AND TITLE
7.0.1 Risk passes on dispatch; ownership remains with Electrospares.Net Ltd until full payment is received.
7.0.2 Goods must be stored separately and clearly identified until paid for.
7.0.3 The Seller may repossess unpaid goods if the Buyer becomes insolvent.
